Netgraph has become a major shareholder in Valuno Group after converting more than €1 million of loans into new shares. The move gives Paysecure's investment arm more than 20% of the equity and voting rights in the Swedish fintech.

The stake builds on an existing commercial relationship that began in 2023 with a partnership focused on crypto settlement products.

Under the transaction, Netgraph converted historical loan investments in Valuno into equity, increasing its influence as the companies deepen their ties in digital asset payments.

Founded in 2016, Valuno develops cryptocurrency services for businesses and consumers. The company is listed on NGM Nordic SME and has processed more than €1 billion in transaction volume through its digital asset products and services.

Founded in 2022, Paysecure operates a payments orchestration platform for merchants, platforms, financial institutions and payment providers. Its investment arm's larger stake in Valuno adds a financial commitment to work already under way between the companies on settlement infrastructure.

Existing partnership

That work includes integrating Atlas, Valuno's stablecoin transaction platform, into Paysecure's payment orchestration system. The setup is intended to support settlement flows by combining traditional payments infrastructure with stablecoin-based transfers.

Atlas is designed to help businesses manage international transactions within a single settlement framework, simplify cross-border settlement and give them more options in how money moves between corporate users and payment partners.

For Paysecure, the integration broadens the range of payment and settlement options available through a single platform. The equity conversion gives Netgraph a sizeable ownership position as the commercial relationship develops.

Mike Peplow, Chief Operating Officer at Paysecure, said: "Converting our loan investments into equity is a clear statement of how we see Valuno's future. We've built a strong relationship over the past few years, and this is a natural next step for us. As a shareholder, we intend to actively engage with Valuno to build a strong and dynamic partnership for the long term as we continue exploring new ways to make settlement more efficient and accessible for businesses."

The deal highlights continued interest in stablecoin-based settlement among payments companies seeking alternatives for cross-border transactions. It also reflects a wider pattern of strategic investment in fintech partners where commercial integrations are already in place.

Valuno focuses on making cryptocurrency tools easier to use for businesses and consumers, while Paysecure has built its business around connecting merchants and financial institutions to payment providers through a single integration. Bringing those approaches together gives Paysecure closer access to infrastructure built specifically for digital asset settlement.

The share conversion also changes Netgraph's role from lender to significant shareholder. With more than a fifth of the equity and votes, the investment arm now holds a position that could carry greater weight in the company's strategic direction.

The two businesses have already worked together on products aimed at linking conventional payment rails with blockchain-based settlement. This latest step places that relationship on a stronger ownership footing as digital assets continue to move further into mainstream payments infrastructure.
